1. About these terms
These Terms and Conditions ("Terms") are an agreement between TechHive LLP, a limited liability partnership registered under the Limited Liability Partnership Act, 2008, of Ahmedabad, Gujarat, India ("TechHive", "we", "us") and the firm that subscribes to SiteMetrics ("Customer", "you"). They also apply to every person your firm allows to use the service.
Your firm accepts these Terms when it signs or accepts our quotation or order, pays our invoice, or first uses the service, whichever comes first. A person who accepts on behalf of a firm confirms they are authorised to bind it.
If a signed quotation or order says something different from these Terms about price, scope or dates, the quotation or order applies for that point.
2. Definitions
- Service: SiteMetrics, the web and phone app, its server software, its updates, and our running, backing up and support of it.
- Your deployment: the separate copy of the Service we run for your firm, with its own database, file storage and web address.
- Users: the people your firm adds to the Service, such as employees, site staff and contractors.
- Your Data: everything your firm or its Users put into the Service, including records, photos, files and messages, and the records the Service creates from them, such as attendance.
- Order: our quotation, proposal or invoice that your firm accepts.
- Year: each 12 months from the date your firm accepts the Order (the contract date).
- Go-live: the day we hand your deployment over to your firm, ready to use.
3. The service
We provide SiteMetrics as a hosted service: we run it, you use it through a browser or the app installed from a link. Every module described on our website is included: purchase requests, purchase and work orders, deliveries, budgets, payments due, attendance and leave, site plans and daily reports, notices, chat and analytics.
- Your deployment is hosted on Microsoft Azure in India and is kept separate from every other firm's.
- We set it up with your firm's name, logo and colours, on your web address or on a sub-address of ours.
- We improve the Service over time. Updates are applied to your deployment as they are released. We will not remove a module you rely on without telling you first.
- We do not give your firm a copy of the software itself. Your firm receives the right to use it while this agreement lasts.
4. Accounts and users
- Your firm's administrators add, change and deactivate Users and choose their roles and sites. Only people your firm has added can sign in.
- Users sign in with Google or with a one-time code sent to their email. Each User must have their own account. Accounts must not be shared, and no one may impersonate another person or use someone else's account.
- Users must be at least 18 years old.
- Your firm is responsible for everything done under its Users' accounts, and for deactivating people who leave. Deactivating a User signs them out on every device.
- Tell us straight away at the address below if you believe an account or your deployment has been misused.
5. Your responsibilities
- Your staff's data. For the personal data of your Users, vendors and contractors, your firm is the Data Fiduciary under the Digital Personal Data Protection Act, 2023, and we act as your Data Processor. Your firm is responsible for having a lawful basis for that data and for telling your staff how the Service uses it.
- Attendance and location. Before your staff use attendance, your firm must tell them that the app reads their location while it is open on screen to check them in and out of your sites, and how your firm uses attendance records. The app also shows each person a notice before their first check-in.
- Accuracy. Your firm is responsible for the accuracy of what it enters, including rates, quantities, budgets, payment terms, company details and GST details printed on documents.
- Lawful content. Your firm and its Users must not upload anything unlawful, infringing, or that you have no right to share.
- What Users post. Your firm's administrators manage chat groups, notices and Users. We are not responsible for what Users post, share or send through the Service.
- Your own records. SiteMetrics helps run your business but is not your books of account. Keep the records the law requires you to keep, such as GST, tax, labour and wage records, in the form the law requires.
6. Acceptable use
Your firm and its Users must not:
- copy, resell, rent or sub-license the Service, or make it available to anyone outside your firm, other than your vendors receiving the documents you send them;
- try to reach another firm's data, or any part of the Service you have not been given access to;
- reverse engineer, decompile or try to extract the source code of the Service, except where the law expressly allows it;
- probe, scan or test the Service for vulnerabilities without our written permission, or bypass its security, sign-in limits or rate limits;
- send spam or harmful code through the Service, or use it to harass anyone;
- use automated tools to load the Service heavily or scrape it;
- use the Service, or what you learn from it, to build or support a competing product or service;
- use the Service in a way that breaks the law.
We may suspend a User, or your deployment, if this is needed to stop serious misuse or a security threat. We will tell you why as soon as we reasonably can.
7. Fees and payment
| Fee | Amount | Covers |
|---|---|---|
| Setup, one time | ₹1,00,000 + GST, on signing | Your deployment, your brand, loading your master lists from your spreadsheets, training, and support while your firm goes live |
| Yearly, from go-live | ₹50,000 + GST per Year | Support, monitoring, looking after backups, security updates and new features as released |
| Azure hosting, from the start | Actual cost + GST, estimated and billed yearly in advance | Your firm's own Azure resources: server, database, file storage, email, monitoring and backups. About ₹24,000 a year for a typical firm; it grows mainly with stored photos and files |
- There are no per-user fees. Your firm may add as many Users and sites as it needs for its own business. For firms with several hundred Users, we agree the fees in a separate quotation, and that quotation applies.
- Azure hosting is charged at what Microsoft bills for your firm's resources, without markup, from the day your deployment is created until it is deleted after the agreement ends. We invoice an estimate for each Year in advance. With the next Year's invoice we send Microsoft's cost breakdown for those resources and settle the difference: extra cost is added, and any overpayment is credited. After the agreement ends, a final invoice or credit settles the cost up to deletion. We will tell you before any change that would noticeably raise it, such as moving to a larger database or server tier.
- GST is charged at the applicable rate, currently 18%, and shown on our tax invoice.
- The setup fee is invoiced when your firm accepts the Order. The yearly fee for the first Year is invoiced at go-live, and covers the Year counted from the contract date; after that it is invoiced before each contract anniversary. Invoices are payable within the period stated on them.
- If an invoice is unpaid 30 days after its due date, we may suspend access after giving you at least 15 days' written notice. Suspension does not delete Your Data.
- We may change the yearly fee for a coming Year by telling you at least 60 days before that Year starts. The fee for a Year already paid does not change.
- Fees already paid are not refundable, except where these Terms or the law say otherwise.
- Prices on our website and brochure are launch prices as of October 2026, offered to our first firms, and may change for new customers. The price in your accepted Order applies to you, subject to the yearly fee clause above.
8. Changes and custom work
Tell us what your firm needs. We review each change request case by case and tell you up front whether it is covered by your fees or needs a quote. Small changes are usually covered. Larger work is quoted before we start, and nothing extra is charged without your written approval.
We decide how a change is built. Improvements we make, including ones you asked for, become part of the Service and may be offered to other firms. Your Data and your firm's confidential information are never shared with them.
Moving your older records into SiteMetrics (for example, past orders and deliveries from another app or from spreadsheets) is not part of setup unless your Order says so. We will look at your files and quote it separately.
9. Support and availability
- Support is by phone, email and WhatsApp during business hours in India. We will acknowledge a problem promptly and work to fix it with a priority that matches how badly it affects your work.
- We aim to keep the Service available at all times and monitor it around the clock, but we do not promise it will be uninterrupted or error-free. Planned maintenance is done outside working hours where we can.
- The Service depends on the internet, Microsoft Azure and your Users' phones and browsers, which are outside our control. Location features depend on each phone's location accuracy and permissions.
- We monitor the Service's use, such as sign-ins, errors and load, to keep it secure and working and to check these Terms are followed. We look at the contents of Your Data only to support you, when you ask, or when the law requires.
- Fair use. No per-user fees means your firm can add the people and sites its own business needs. Because Azure hosting is billed at actual cost, heavier use, such as large volumes of photos and files, shows up there rather than in our fees.
- Features we label as beta or preview are offered to try out, may change, and come without any promise of availability.
- Support covers using the Service as designed. Training beyond the onboarding sessions in your Order, and work on your own devices or networks, may be charged.
10. Your data
- Ownership. Your firm owns Your Data. You give us permission to host, copy, process and display it only as needed to provide, secure, back up and support the Service for you.
- Use. We do not sell Your Data, use it for advertising, or share it with other customers. Our Privacy Policy explains how personal data is handled.
- Statistics. We may use anonymised, aggregated statistics about how the Service is used, such as how often a feature is used or how fast pages load, to improve it. These never identify your firm, its people or the contents of Your Data.
- Documents you send. When your firm sends an order or document to a vendor by email or WhatsApp, the recipient keeps their copy. We cannot recall it.
- Export. Your administrators can export registers and reports to Excel at any time. We will also export a full copy of Your Data and files for you on request.
- Security. We use reasonable technical and organisational measures to protect Your Data, described in the Privacy Policy. If we become aware of a breach affecting Your Data, we will tell you without undue delay and help you meet your obligations under the law.
- Backups. Your database is backed up automatically. Backups are kept weekly for 12 weeks and monthly for 12 months, and are used only to restore the Service.
- After the agreement ends. For 30 days after it ends you can ask us for a full copy of Your Data and files. After that we delete your deployment. Copies in backups are deleted as those backups expire, within 12 months.
11. Intellectual property
The Service, its software, design, documentation and the SiteMetrics name and logo belong to TechHive LLP and are protected by Indian law, including the Copyright Act, 1957 and the Trade Marks Act, 1999.
While this agreement lasts, your firm has a limited, non-exclusive, non-transferable right to use the Service for its own business. That right does not include copying or modifying the Service, making works based on it, removing our copyright or ownership notices, or using the SiteMetrics name and logo except to refer to the Service. Nothing in these Terms transfers any of our rights to you.
Your firm keeps all rights to its name, logo and other brand material. You allow us to use them to brand your deployment and the documents and emails it sends. We will not name your firm as a customer publicly without your permission.
If you send us suggestions or feedback, we may use them to improve the Service without any obligation to you.
12. Confidentiality
Each party will keep confidential the other's non-public business information it receives under this agreement, including Your Data, our pricing to you, and how the Service works internally. Each will use it only for this agreement and share it only with people who need it for that purpose and are bound to keep it confidential. This does not apply to information that is public, already known to the recipient, independently developed, or that must be disclosed by law. This clause continues after the agreement ends.
13. Figures, records and location
- Totals, balances, budgets used, payment due dates, plan dates, progress, attendance status and analytics are worked out from the data your firm enters and the settings it chooses. Check important figures before relying on them.
- SiteMetrics is not accounting, tax, legal, payroll or engineering advice. Documents it produces, such as purchase orders, use your firm's details and terms, and your firm is responsible for them. We do not guarantee that they meet GST or other legal requirements, or that any authority will accept them.
- Like any software, the Service may contain errors. Tell us when you find one and we will fix it with a priority that matches its effect on your work.
- Phone location can be inaccurate, especially indoors, near tall buildings or with weak signal. Attendance records made from it should be read with that in mind, and your administrators can correct them.
- Plans imported from MS Project or Excel are checked and previewed before import, but files differ. Check an imported plan against its source.
14. Disclaimer of warranties
We provide the Service with reasonable skill and care. Apart from that, and to the extent the law allows, the Service is provided "as is" and "as available", and we make no other promises, express or implied, including that it will meet every need of your firm, be uninterrupted or be free of errors.
15. Limitation of liability
- Neither party is liable to the other for indirect or consequential loss, or for loss of profit, revenue, business or goodwill, however it arises.
- Our total liability to your firm for all claims in any 12 months is limited to the fees your firm paid us in the 12 months before the event that caused the claim.
- These limits do not apply to liability that cannot be limited by law, or to fraud.
16. Indemnity
Your firm will compensate TechHive for losses and reasonable costs arising from a claim by a third party (including your own staff, vendors or a regulator) that results from Your Data, including content that infringes someone else's rights; from decisions your firm makes based on the Service's figures or records; from your firm's breach of these Terms; or from your firm processing personal data without a lawful basis or without telling its staff as section 5 requires.
17. Term and termination
- This agreement starts when your firm accepts it and continues Year by Year.
- Your firm may end it at the end of any Year by telling us at least 30 days before that Year ends.
- We may end it at the end of any Year by telling you at least 90 days before that Year ends.
- Either party may end it straight away by written notice if the other seriously breaches these Terms and does not fix the breach within 30 days of being asked, or becomes insolvent.
- We may also end it if an invoice is still unpaid 60 days after its due date.
- When it ends, access to the Service stops and section 10 applies to Your Data. Sections 10 to 16, 20 and 21 continue after it ends.
18. Third-party services
The Service relies on Microsoft Azure for hosting, storage and email, and offers Google sign-in, phone notifications through the browser's push service, map tiles from OpenStreetMap, and sharing through WhatsApp or your email app. Your use of those services is also subject to their own terms. We are not responsible for their availability or their practices, but we choose them carefully and use them only as needed to run the Service.
19. Force majeure
Neither party is liable for delay or failure caused by events beyond its reasonable control, such as natural disasters, epidemics, war, government action, power or internet failures, or failures of cloud providers. Payment obligations for the Service already provided are not excused.
20. Governing law and disputes
These Terms are governed by the laws of India. The courts of Ahmedabad, Gujarat, India have exclusive jurisdiction over any dispute arising from them or the Service. Before starting legal proceedings, each party will first try to resolve the dispute in good faith by contacting the other at the address below, for at least 30 days.
21. General
- Entire agreement. These Terms, the Privacy Policy and your accepted Order are the whole agreement between us about the Service, and replace any earlier discussions or proposals about it.
- Severability. If a court finds any part of these Terms invalid, the rest stays in force, and the invalid part is changed as little as needed to make it valid.
- Assignment. Neither party may transfer this agreement without the other's written consent, except that we may transfer it to a successor of our business, telling you in writing.
- Notices. Notices are given by email to the contact address each party has given the other, and take effect when sent unless a delivery failure is received.
- No waiver. Not enforcing a right straight away does not mean giving it up.
- Relationship. We are independent contractors. Nothing in these Terms creates a partnership, agency or employment.
22. Changes to these terms
We may update these Terms, for example when the Service or the law changes. We will email your firm's administrators at least 30 days before a material change takes effect, and show the new date at the top of this page. Using the Service after a change takes effect means accepting it. If your firm does not accept a material change, it may end the agreement before the change takes effect and receive a pro-rata refund of the yearly fee already paid for the rest of that Year.
23. This website
This website describes SiteMetrics for information. Screens on it and in our brochure show a sample firm with made-up people, sites, vendors and figures. Prices and features on the website may change and are confirmed in your Order.
